1. GENERAL APPLICATION - These Standard Terms and Conditions of Sale ("Terms") govern the sale of all products and services provided by MZG ("we", "us", or "our") through our website or via direct B2B quotation. By placing an order or accepting a quote, the client explicitly waives its own standard terms and conditions. Any alteration to these Terms must be expressly agreed to in advance in writing by MZG.
2. ORDERS AND CONTRACT FORMATION
Website/E-commerce: Orders placed through our website are subject to product availability. MZG reserves the right to cancel or refuse any order due to stock issues, pricing errors, or suspected fraud.
B2B Services/Orders: For customized services or wholesale orders, the contract is formed once the client officially accepts our quotation.
E-Commerce (Website Sales): Payments for all products or services purchased directly through the website are due immediately upon checkout.
Invoiced Sales (B2B): For B2B clients, payment terms are strictly as specified on the issued invoice.
Late Payments: In the event of non-payment by the due date on B2B invoices, MZG reserves the right to apply a fixed commercial delay interest amounting to 7% of the outstanding sum. MZG is authorized to suspend the provision of services or withhold product deliveries without prior warning in the event of late payment. All legal and debt recovery expenses will be payable by the client.

MZG undertakes to use its best efforts to supply services in due time and in accordance with agreed timeframes. However, these are obligations of means, not guaranteed outcomes, unless explicitly stated otherwise.
5. DELIVERY OF PRODUCTS
Delivery times are estimates. MZG is not liable for delays caused by third-party carriers, customs, or force majeure events. The risk of loss or damage to physical products passes to the client upon delivery.
6. RETURNS, CLAIMS, AND WARRANTIES
To be valid and admissible, MZG must be notified of any claim regarding defective products or unsatisfactory services within 14 days of delivery or service completion. All claims must be submitted in writing via email to: info@mzgeg.com. Approved product returns must be in their original condition and packaging in accordance with the Egyptian Consumer Protection Law.
7. TAXES AND WITHHOLDING
Certain countries or entities apply withholding at source on invoices. Any withholding tax will be borne by the client and paid directly to their respective tax authorities. MZG’s invoice amount must be paid in its entirety and does not include costs related to the tax legislation of the client's location.
8. LIMITATION OF LIABILITY
MZG cannot, under any circumstances, be required by the client to appear as a third party in the context of any claim for damages filed against the client by an end consumer. MZG is not liable for indirect or consequential damages.
9. GOVERNING LAW AND JURISDICTION
All contractual relations and disputes arising out of these Terms shall be governed exclusively by the laws of the Arab Republic of Egypt. Any legal disputes shall be subject to the exclusive jurisdiction of the competent courts located in the Damietta Governorate, Egypt.
